Terms of Service
These Terms govern use of the Navrit service provided by Navrit AI Private Limited(“Navrit”). By onboarding or using the service, the dealership (“Dealer”) agrees to these Terms together with the Pilot MoU accepted at onboarding.
1. The service
Navrit drafts and sends WhatsApp messages from the Dealer’s own WhatsApp Business number to the Dealer’s customers, scores leads, and presents them on a dashboard. Customers always see the Dealer’s identity, never Navrit’s. Navrit acts on the Dealer’s instructions.
2. Dealer responsibilities
• Upload only contacts the Dealer is lawfully entitled to message and who have a prior relationship/consent.
• Honour every opt-out; do not instruct messaging to numbers on a do-not-contact list.
• Keep pricing, offers and vehicle data accurate; Navrit messages only from Dealer-provided data.
• Comply with WhatsApp Business Messaging Policy, Meta Commerce/Business policies, and applicable Indian law (incl. TRAI).
3. Billing — pre-paid wallet
The service is billed on a pre-paid wallet basis only. The Dealer pre-pays a balance; each billable engaged outcome draws down the wallet at the agreed per-outcome rate. No outcome is charged twice. When the wallet runs low we notify the Dealer; sending pauses if the balance is exhausted. Pre-paid balances are applied to service usage and are non-transferable.
4. Acceptable use
No spam, no unlawful, deceptive, or harassing content, no impersonation, and no use that would violate WhatsApp/Meta policy. Navrit never denies being AI and never invents a human persona. We may suspend the service for policy or legal breaches that put customers or message delivery at risk.
5. Data protection
Navrit processes personal data as described in our Privacy Policy, as the Dealer’s processor. The Dealer is the controller and is responsible for the lawful basis of its contact data.
6. Availability
We aim for reliable, 24/7 delivery on the official WhatsApp Business Platform. The service is provided on a commercially reasonable-efforts basis; we are not liable for outages of Meta/WhatsApp or other third-party platforms.
7. Term & termination
Either party may end the engagement on written notice. On termination we stop sending, return or delete customer data per the Privacy Policy, and reconcile any remaining pre-paid balance.
8. Liability
To the extent permitted by law, Navrit’s aggregate liability is limited to the fees paid for the service in the preceding three months. We are not liable for indirect or consequential losses.
9. Governing law
These Terms are governed by the laws of India; courts at Bengaluru have exclusive jurisdiction.
